CDEV structuring Canadian Photonics Fabrication Centre spin-off process

Toronto, May 8, 2026—As the Government of Canada’s trusted partner for financial, commercial, and strategic advice, Canada Development Investment Corporation (CDEV) is playing a central role in the proposed spin-off of the National Research Council of Canada’s Canadian Photonics Fabrication Centre (CPFC), announced this week by the Government of Canada. 

The proposed transaction is intended to position CPFC for long-term growth and expanded commercial opportunities through access to private-sector investment. The initiative is also intended to strengthen Canada’s domestic semiconductor and photonics manufacturing capabilities in support of emerging technologies, including artificial intelligence and quantum computing. 

As North America’s only end-to-end, pure-play compound semiconductor facility, CPFC has played a critical role in supporting Canadian innovation and advanced manufacturing for more than two decades and represents a unique strategic asset. 

CDEV has been engaged by the NRC to lead the spin-off process, including engagement with potential investors. The process will be conducted on a commercial basis and timeline, with the objective of securing strong partners to realize the facility’s full potential and support a world-class industrial capability in Canada. 

Since 1982, CDEV has supported the Government of Canada in the structuring and execution of complex transactions that advance both public policy and commercial objectives.
